OPM Gear - Standard Purchase Order Terms & Conditions
These terms and conditions apply to all purchase orders for custom headwear placed with OPM Gear.
1. Product Specifications

Detailed Description: The exact hat style, material composition (e.g., 100% cotton twill, polyester mesh), color (Pantone references preferred), size breakdown, and construction details (e.g., number of panels, eyelet type, closure type - snapback, buckle, velcro) shall be approved in writing by the Client prior to production commencement.
Customization: All details regarding logo/design placement, embroidery type (e.g., flat, 3D puff), screen printing, patches, labels (woven, printed), inside taping, etc., must be clearly defined. Submission of a detailed "tech pack" or specification sheet by the Client is highly recommended and required for complex designs. Client approval of the final specification sheet or tech pack is required before sampling or production.
Quantity: The total number of hats ordered, including any breakdown by size, color, or design variation, must be specified in the Purchase Order.

2. Minimum Order Quantity (MOQ)

OPM Gear maintains Minimum Order Quantities (MOQs) which may vary per style, color, or total order. The applicable MOQ for the specific order will be confirmed in the Proforma Invoice or Purchase Order confirmation. Please inquire about specific MOQs early in the process.

3. Pricing

Unit Price: The price per hat is based on the approved specifications, quantity, materials, and complexity of design/customization. Unit prices will be confirmed in the Proforma Invoice.
Currency: All pricing is quoted and payable in US Dollars (USD).
Setup Charges: One-time fees for new designs, screens, embroidery digitization, or molds may apply and will be itemized separately if applicable.

4. Sample Terms

Pre-Production Sample (PPS): OPM Gear requires Client approval of a Pre-Production Sample (PPS), produced to the exact specifications, before commencing mass production.
Sample Cost: Charges apply for sample development and shipping. Sample costs may be credited towards a subsequent bulk order at OPM Gear's discretion.
Sample Lead Time: The estimated timeframe for producing and shipping the sample(s) will be provided upon request or in the Proforma Invoice.

5. Production Lead Time

The estimated production lead time commences only after written approval of the PPS by the Client and receipt of the required deposit payment. Lead time is typically quoted in business days or weeks (e.g., "30-45 business days") and does not include shipping transit time.

6. Payment Terms

Standard Method: Telegraphic Transfer (T/T) is the standard payment method.
Deposit: A non-refundable deposit (typically 30% to 50% of the total order value, as specified in the Proforma Invoice) is required upfront to initiate production.
Balance Payment: The remaining balance is due prior to shipment from the origin factory or upon presentation of shipping document copies (e.g., Bill of Lading), as specified in the Proforma Invoice. Goods will not be released until full payment is received.
Other Methods: Letter of Credit (L/C) may be considered for very large orders, subject to prior agreement and associated bank charges borne by the Client. Other methods like PayPal are generally not used for standard production orders.

7. Incoterms® (International Commercial Terms)

Unless otherwise explicitly agreed in writing and stated on the Proforma Invoice, the default shipping term is FOB (Free On Board) Port of Origin (e.g., Chittagong, Bangladesh).
FOB: OPM Gear is responsible for costs and risks until the goods are loaded onto the designated shipping vessel/aircraft at the port/airport of origin. The Client is responsible for main freight costs, insurance, US customs clearance, duties, taxes, and final delivery from the US port of entry.
Other Incoterms (EXW, CIF, DDP) may be negotiated but must be explicitly agreed upon in writing.

8. Shipping & Logistics

Method: The Client may specify sea freight or air freight. Associated costs vary significantly.
Booking (under FOB): The Client or their designated freight forwarder is responsible for booking and managing the main international freight.
Documentation: OPM Gear will provide standard export documentation: Commercial Invoice, Packing List, and Bill of Lading (sea) or Air Waybill (air). A Certificate of Origin will be provided if required and requested in advance.

9. Quality Control (QC) & Inspection

OPM Gear performs internal QC checks during and after production.
The Client has the right to arrange and pay for an independent third-party inspection of the goods at the factory prior to shipment. Such inspections must be scheduled in coordination with OPM Gear. Final payment constitutes acceptance of quality unless a prior claim is filed based on inspection.

10. Packaging & Labeling

Goods will be packed in standard, export-worthy cartons.
Client-specific requirements for inner packaging (e.g., individual polybags), carton markings (shipping marks), and compliance labeling (e.g., "Made in Bangladesh," material content, RN numbers) must be provided with the Purchase Order or tech pack and approved by OPM Gear.

11. Import Duties, Taxes, and Fees (US Side)

Client Responsibility: The Client, as the US Importer of Record, is solely responsible for all US import duties, tariffs, taxes (federal, state, local), Merchandise Processing Fees (MPF), Harbor Maintenance Fees (HMF, if applicable), customs brokerage fees, and any other charges associated with importing the goods into the United States.
Tariffs: The Client is responsible for all tariffs, including any retroactive tariffs imposed as a result of audits or changes in regulations.

12. Defects & Claims

Any claims regarding defective goods must be submitted in writing with photographic evidence within 14 days of receipt of goods at the final destination. OPM Gear and the Client will agree upon an acceptable quality level (AQL) or defect rate prior to production. Resolution for confirmed defects exceeding agreed levels may include replacement or credit, at OPM Gear's discretion.

13. Standard Order Scenario Summary

Typically, orders proceed under FOB shipping terms, with payment via T/T (deposit and balance). Following Client approval of a PPS and receipt of deposit, production commences. Upon completion, the Client arranges shipping and is responsible for all subsequent costs including freight, insurance, and all US import-related charges and processes.
